The WHCL Lead Board at whclleads.com (the “Lead Board”) is operated by WHCL Enterprises Inc. (“WHCL,” “we,” “us,” or “our”) in connection with the wehangchristmaslights.com marketing and referral program.

The Lead Board and its services are offered to you conditioned on your acceptance, without modification, of the terms, conditions, and notices contained in this agreement (the “Terms and Conditions”). By creating an account, accessing the Lead Board, reserving or purchasing any lead, or otherwise using our services, you agree to these Terms and Conditions as in effect at that time. If you do not agree, do not use the Lead Board.

We may amend these Terms and Conditions at any time by posting a revised version on this page. Continued use of the Lead Board after a revision is posted constitutes acceptance of the revised terms. If you have questions about these Terms and Conditions, please contact us through whclleads.com.

1. Services

The Lead Board provides lead buyers, installers, and licensees (“Buyers”) access to Christmas light installation service requests submitted by homeowners and property managers (“Homeowners”) through wehangchristmaslights.com and related WHCL properties (each, a “Lead”). Leads are first distributed to installers and licensees whose service areas cover the Homeowner’s location. Leads that are not covered by an existing installer or licensee may be made available for purchase on the Lead Board.

WHCL is a marketing and referral service only. WHCL does not perform, and is not responsible for, any installation, removal, or other services that a Buyer provides to a Homeowner. Buyers are independent businesses and are not employees, agents, partners, or joint venturers of WHCL, and WHCL is not an agent of any Buyer or Homeowner.

2. Accounts & Eligibility

You must be at least 18 years old and operating a legitimate business to use the Lead Board. You agree to provide accurate, current, and complete account and business information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use of your account.

You are solely responsible for holding and maintaining any licenses, permits, registrations, and insurance required by law to perform the services you offer to Homeowners in each area you serve.

3. Lead Reservations & Purchases

Cart holds. Adding a Lead to your cart reserves it for a limited time (currently 20 minutes). If checkout is not completed within the hold window, the reservation expires and the Lead may be released back to the Lead Board for other Buyers.
Exclusivity. Leads offered on the Lead Board are sold exclusively to one Buyer. Once purchased, a Lead is removed from the Lead Board and is not resold through the Lead Board. Exclusivity does not prevent a Homeowner from independently contacting or hiring other companies.
Pricing & payment. Prices are shown on the Lead Board at the time of purchase and may change at any time before checkout is completed. Payment is due in full at checkout. You authorize WHCL and its payment processor to charge your selected payment method for all purchases.
Sales are final. Because Lead contact information is delivered immediately upon purchase, all sales are final and non-refundable, except that WHCL may, in its sole discretion, issue a credit or replacement for a Lead that is promptly reported and verified to be invalid (for example, a duplicate Lead or contact information that is entirely non-working). Any credit is your sole and exclusive remedy for an invalid Lead.
Chargebacks. Initiating a chargeback or payment dispute for a Lead that was delivered may result in suspension or termination of your account.

4. No Guarantee of Results

WHCL does not guarantee that any Lead will result in a contact, an appointment, an accepted proposal, a sale, or any revenue. Lead information is provided by Homeowners, and WHCL does not independently verify it. WHCL makes no guarantee or representation that Lead information is accurate, complete, or current, or that the Homeowner remains interested in the requested services. WHCL does not guarantee the volume, frequency, or geographic availability of Leads.

5. Contacting Homeowners

Homeowners who submit a service request consent to be contacted about that request. When you contact a Homeowner, you are solely responsible for complying with all applicable federal, state, provincial, and local laws, including without limitation the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, state telemarketing and “Do Not Call” rules, and consumer protection and privacy laws. You agree to contact Homeowners only regarding the service they requested, and to promptly honor any request by a Homeowner to stop contacting them.

6. Permitted Use of Leads & Site

Leads are licensed to you for the sole purpose of offering the requested Christmas light or holiday decorating services directly to the Homeowner. You agree that you will not:

Resell, transfer, share, publish, or otherwise distribute any Lead or Homeowner information to any third party;
Add Homeowner information to marketing lists or use it for any purpose unrelated to the Homeowner’s service request;
Use the Lead Board to recreate or compete with the WHCL services, or to solicit or harass other Buyers or Homeowners;
Scrape, harvest, or use automated means to access the Lead Board, or attempt to circumvent cart holds, pricing, or any security or access controls; or
Use the Lead Board for any unlawful, fraudulent, or abusive purpose.

All content and information on the Lead Board, including Lead listings and Homeowner information, is confidential and is the property of WHCL. You agree to safeguard any Homeowner information you receive using reasonable security measures. A violation of this section could result in significant damages, and you agree that you are liable to WHCL for any such damages and will indemnify WHCL against any third-party claims arising from your violation. If WHCL determines or suspects, in its sole discretion, that you are misusing or attempting to misuse or circumvent the Lead Board, WHCL may immediately suspend or terminate your access without notice or refund and may pursue all available legal remedies, including recovery of lost revenue, legal fees, costs, and injunctive relief.

7. Your Work With Homeowners

Any agreement for services is solely between you and the Homeowner. You are solely responsible for your proposals, pricing, contracts, deposits, workmanship, products, insurance, property damage, and customer service, and for resolving any dispute with a Homeowner. WHCL is not a party to any agreement between you and a Homeowner. You agree to conduct your business honestly, professionally, and in compliance with all applicable laws.

You hereby release WHCL Enterprises Inc. and its officers, directors, affiliates, employees, and agents from any damages or claims (including consequential and incidental damages) of every kind or nature, suspected and unsuspected, known and unknown, disclosed or undisclosed, arising out of or in any way connected with your dealings or disputes with Homeowners.

8. False Information & Misuse

Knowingly entering false information on the Lead Board, including but not limited to someone else’s name, business name, e-mail address, physical address, phone number, or payment information, or a made-up name, address, e-mail, or phone number, is a serious and fraudulent matter that can result in significant costs and damages to WHCL, to Homeowners, and to others. If you knowingly input false information, you agree to fully indemnify and be liable to WHCL and to each person affected for the greater of: (1) a minimum amount of $1,000 to WHCL and to each affected person, per improper submission, plus any attorneys’ fees, costs, and expenses relating thereto; or (2) the actual damages, direct, punitive, and consequential, and any regulatory or judicial fines or penalties arising from such activity, plus reasonable legal fees, costs, and expenses relating thereto, whichever is greater.

9. Site Content & Intellectual Property

The design, layout, text, graphics, logos, and other elements of the Lead Board and other WHCL-owned or operated websites are protected by trade dress, trademark, copyright, unfair competition, and other laws and may not be copied or imitated in whole or in part. No logo, graphic, or image from any WHCL website may be copied or retransmitted without WHCL’s express written permission.

10. Disclaimer of Warranties

The Lead Board, all Leads, and all related information are provided “as is” and “as available” without warranty of any kind. WHCL Enterprises Inc. and its suppliers hereby disclaim all warranties and conditions, express or implied, including all implied warranties and conditions of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty regarding the accuracy, completeness, timeliness, or quality of any Lead. WHCL does not warrant that the Lead Board will be uninterrupted or error free. Information on the Lead Board could include technical inaccuracies or typographical errors, and WHCL may make changes to the Lead Board at any time.

11. Indemnification

You agree to indemnify, defend, and hold harmless WHCL Enterprises Inc. and its subsidiaries, affiliates, officers, employees, agents, co-branders, and other partners from any and all claims or demands, including attorneys’ fees, made by any third party due to or arising from your use of the Lead Board, your use of any Lead, your communications with or services to any Homeowner, your violation of any law (including telemarketing and privacy laws), your violation of these Terms and Conditions, or your violation of any rights of a third party.

12. Disputes & Arbitration

These Terms and Conditions are governed by California law. If a dispute arises out of these Terms and Conditions or your use of the Lead Board, the parties agree to resolve the dispute through binding arbitration in Henderson County, TX before a single arbitrator. Any judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The prevailing party in arbitration shall be entitled to its reasonable attorneys’ fees and costs. Any outstanding balance owed to WHCL that is not paid when due may accrue interest at 1.5% per month (18% per year) or the maximum rate permitted by law, whichever is less.

13. General Provisions

WHCL shall have no liability for direct, indirect, special, incidental, consequential (including lost profit), exemplary, or punitive damages, even if WHCL has been advised of the possibility of such damages, arising out of these Terms and Conditions or your use of the Lead Board. In no event shall WHCL’s total liability to you exceed the amount you paid to WHCL for Leads during the thirty (30) days preceding the event giving rise to the claim. Some states and provinces do not allow the limitation or exclusion of incidental or consequential damages; in such states and provinces, the above exclusions may not apply to you.

WHCL may suspend or terminate your account or access to the Lead Board at any time, with or without notice, for any violation of these Terms and Conditions or for any other reason. These Terms and Conditions will inure to the benefit of WHCL’s successors, assigns, and licensees. If any provision of these Terms and Conditions is deemed unlawful, void, or unenforceable by any court of competent jurisdiction, that provision shall be modified to make it enforceable while maintaining its intent, or, if modification is not possible, stricken without affecting the validity and enforceability of the remaining provisions. WHCL’s failure to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of that right or provision.

You agree that, regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of the Lead Board or these Terms and Conditions must be filed within one (1) year after such claim or cause of action arose or be forever barred. Section titles are for convenience only and have no legal or contractual effect. These Terms and Conditions constitute the entire agreement between you and WHCL regarding the Lead Board.
